Terms of Service

These Terms of Service (the “Terms”) are a binding agreement between you and Argos (“Argos,” “we,” “us,” or “our”) governing your access to and use of the Argos alarm-signal platform, websites, portals, mobile applications, and any optional Argos equipment (collectively, the “Service”). By creating an account, connecting a system, or otherwise using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. What Argos is (and is not)

Argos is a multi-tenant software platform that ingests alarm and status signals from alarm panels, sensors, and optional Argos devices; logs those signals; notifies the account’s users; applies configurable rules; and, where a system is configured for it, retransmits signals to a third-party central monitoring station for professional response.

Argos does not operate its own central monitoring station. Professional monitoring and any emergency dispatch are provided by an independent, licensed wholesale central monitoring station (the “Monitoring Provider”) and are resold to you or to your dealer. Emergency response itself is performed by public safety agencies (police, fire, EMS), which Argos does not control and cannot guarantee. Response times, dispatch decisions, and outcomes are outside Argos’s control.

2. Eligibility and geographic scope

You must be at least 18 years old and able to form a binding contract to use the Service. The Service is offered only in the United States. Alarm monitoring is regulated at the state (and sometimes municipal) level; the Service — and in particular professionally monitored dispatch — may be available only in jurisdictions where Argos and its Monitoring Provider are permitted to offer it. Where required, monitored service is limited by geography and may be withheld or restricted to comply with state alarm-licensing law. You are responsible for complying with any local alarm-permit, registration, or false-alarm-ordinance requirements that apply to your premises.

3. Accounts, roles, and responsibilities

The Service supports several account types with different responsibilities:

You are responsible for the accuracy of the account, contact, contact-list, and call-order information you provide; for keeping notification contacts and permit information current; for the security of your credentials; and for all activity under your account. Accounts are multi-user with role-based permissions — the account owner controls who has access and at what level, and is responsible for the actions of the users it invites.

4. Signals, arm/disarm, and monitoring-only systems

Argos carries signals in their native format and logs every signal it receives. You acknowledge important limits inherent to alarm signaling:

5. Optional equipment

Optional Argos equipment (such as an RF receiver or a provisioned SIP line-capture device) is sold as-is except for any limited warranty expressly provided at the time of sale. You are responsible for installing, powering, maintaining, and testing your equipment and premises alarm system, and for verifying that signals are being received. Argos equipment is add-on functionality and is not required to use the core platform.

6. Fees, billing, and cancellation

Paid plans are billed on a subscription basis (and, where applicable, usage-based and one-time hardware charges) through our payment processor, Stripe. Dealer platform fees are billed per account; consumer plans include a free self-monitor tier and a paid professionally monitored tier. Professional monitoring fees are passed through from the Monitoring Provider. Fees are stated at sign-up and may change on prospective notice. Except where required by law, fees are non-refundable. You may cancel through the customer portal or your dealer; cancellation stops future billing and may end monitored service and dispatch. Taxes and regulatory fees are your responsibility.

7. Acceptable use

You agree not to misuse the Service, including: submitting false or unauthorized signals or accounts; using the Service for any system you are not authorized to monitor; interfering with signal routing or the Service’s operation; attempting to access data or accounts that are not yours; reselling or provisioning monitoring you are not licensed or permitted to provide; or using the Service in violation of applicable law, including telemarketing/messaging (TCPA/CAN-SPAM), recording-consent, and alarm-permit requirements. You consent to receive operational, transactional, and alarm-related notifications by push, SMS, email, and/or voice for the systems on your account.

8. No warranty

THE SERVICE AND ANY EQUIPMENT ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE FULLEST EXTENT PERMITTED BY LAW, ARGOS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. ARGOS DOES NOT WARRANT THAT THE SERVICE WILL DETECT OR PREVENT ANY INTRUSION, FIRE, LOSS, INJURY, OR DAMAGE, OR THAT SIGNALS WILL ALWAYS BE RECEIVED, PROCESSED, OR TRANSMITTED WITHOUT DELAY, ERROR, OR INTERRUPTION. Argos is not a life-safety or fire-alarm certification service and makes no such claim.

9. Limitation of liability

This section reflects the standard allocation of risk in the alarm-monitoring industry and is a material part of the bargain — the fees charged are based on the value of the Service, not on the value of your property or the risk of loss.

Argos is not an insurer. You are responsible for insuring against loss to persons and property. You should obtain, from your own insurer, insurance in an amount sufficient to cover any potential loss. The amounts payable to Argos are not sufficient to, and do not, cover the value of your property or the risk of loss.

Liquidated damages. To the maximum extent permitted by law, if Argos is found liable for any loss or damage arising from the Service — regardless of the cause, including Argos’s own negligence, failure of the Service or equipment, or failure to perform — Argos’s total aggregate liability is limited to the greater of the amount you paid for the Service in the six (6) months preceding the event, or two hundred fifty dollars ($250), as agreed liquidated damages and not as a penalty. This limit applies whether the claim is based in contract, warranty, negligence, strict liability, or any other theory.

No consequential damages. To the maximum extent permitted by law, Argos will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for personal injury, death, or property loss, even if advised of the possibility of such damages.

Third-party beneficiaries. These limitations and the indemnity below also apply, to the same extent, for the benefit of the Monitoring Provider and Argos’s other suppliers and subcontractors.

Some states do not allow certain limitations, so some of the above may not apply to you; in that case liability is limited to the greatest extent permitted by law.

10. Third-party indemnification (subrogation waiver)

If any person or entity that is not a party to these Terms (including your insurer by way of subrogation) brings a claim against Argos or the Monitoring Provider arising from the Service or from a loss the Service allegedly failed to prevent or report, you agree to indemnify and hold Argos and the Monitoring Provider harmless from that claim, including reasonable defense costs, to the extent permitted by law.

11. Suspension and termination

We may suspend or terminate access for non-payment, violation of these Terms, suspected fraud or unauthorized use, or as required to comply with law or a supplier requirement. You may stop using the Service at any time. Termination may end monitoring and dispatch; you are responsible for arranging alternative protection. We do not delete account data for non-payment; deletion follows Section 12 and the Privacy Policy.

12. Data

Your use of the Service is also governed by the Privacy Policy, which describes the account, signal, and contact data we handle and how we handle it. To operate monitoring, signal and contact data is shared with the Monitoring Provider and, where dispatch occurs, with emergency responders.

13. Changes to these Terms

We may update these Terms. Material changes will be communicated by a reasonable method (such as email or in-app notice) before they take effect. Continued use after the effective date constitutes acceptance.

14. Governing law and disputes

These Terms are governed by the laws of the State of [•], without regard to conflict-of-laws rules, and the exclusive venue for disputes is [•], except where a mandatory consumer-protection law of your state provides otherwise. Any claim must be brought within one (1) year after it arises, to the extent permitted by law. [Arbitration / class-action-waiver terms, if any, to be finalized by counsel.]
